CRISNY Information Provider Agreement
In consideration for the opportunity to provide information to the CRISNY system, and in recognition of the policy of the
CRISNY Board of Directors, the undersigned hereby agrees to the following:
- That all information will be reliable and will be kept both timely and accurate.
- That information provided does not violate any laws and does not contain material that is obscene, abusive or deliberately intended
to harm any individual or group.
- That neither CRISNY nor the Information Provider (IP) will discriminate on the basis of race, religion, gender, sexual preference,
national origin or political affiliation.
- That use of CRISNY is a privilege which may be suspended or revoked by the Directors, upon due cause shown. The CRISNY
Board of Directors reserves the right to design and manage the CRISNY system including the right to accept or reject this Agreement.
Decisions about either including or excluding any IP will be based upon criteria to be established by the Board.
- That the CRISNY Board of Directors may, through an Editorial Board at its sole discretion, remove any IP from the CRISNY system
for continued violation of this Agreement. The CRISNY Board of Directors may establish an appeals process.
- That no subscriber will receive commercial messages or material except upon request.
- That CRISNY will maintain the system to the best of its ability and will not be liable for any losses or claims due to the loss of
information or files because of any computer, utility and/or network failure. In no event will CRISNY be liable for any damages resulting
from loss of data or use, including lost profits, incidental or consequential damages or due to any system malfunction or failure.
- That the IP is responsible for its own information whether created by it or received from other sources.
- That all information posted to CRISNY must show the name of the IP, the date of the original posting, and the date of the latest
revision. The IP will be responsible for handling inquiries regarding the content of its posted material.
- That CRISNY may levy fees at its discretion and the IP accepts the fee schedule in effect at the time this Agreement is signed, or that
may be agreed upon between CRISNY and the IP.
- That the IP will keep its billing account current, and that CRISNY may terminate an IP more than 30 days in arrears.
- That the IP shall not use CRISNY to engage in any act of fraud or misrepresentation, or use any device, scheme, or
misrepresentation, or use any device, scheme, or information for the purpose of obtaining anything of value through false pretenses, or
otherwise use CRISNY to violate any laws of the United States or of New York State.
- That the IP will comply with all laws regarding copyright, patents, trademarks, and other intellectual and proprietary rights, whether
in the form of software, text, or digital information; all laws regarding libel, slander, harassment, and personal privacy protection, whether
federal, state, or local and whether statutory or common-law rule, and that such compliance is the responsibility of the IP and not of
CRISNY.
- That each IP shall, unconditionally and irrevocably, indemnify and hold harmless CRISNY, its Directors, agents, officers, and staff,
or any of them, from any loss, fee (including reasonable attorneys fees), cost, expense, damage, liability or claims and litigation,
administrative proceeding and investigation of any nature whatsoever, commenced or threatened, by subscribers or other third parties
from a) any violation of the Agreement by IP, IPs agents or IPs customers, b) the placement or transmission of any message,
information, software or other materials on the CRISNY network by IP, IPs agents or IPs customers and c) negligent acts or omissions
of IPs officers, employees, agents or contractors in connection with the construction, installation, maintenance, presence, use or removal
of systems, channels, or terminal equipment or software not provided by CRISNY which are connected or are to be connected to the
CRISNY network.
- That each IP is responsible for the security of any assigned user Ids and passwords, and that CRISNY is not responsible for
unauthorized use of the account of any IP no matter what the cause of such misuse.
- That the IP shall not undertake any activities or use any software or devices which can or might have the effect of degrading or
disrupting system performance, or of otherwise defeating the purpose of providing a free, full, and efficient flow of information.
- That the terms of this Agreement are in effect for one year from the date of acceptance by the IP and are renewable with the consent
of both parties.
